END USER LICENSE AGREEMENT FOR PERPETUUM CONTROLS (BETA).
PLEASE READ THE FOLLOWING END-USER LICENSE AGREEMENT. IT WILL BE NECESSARY FOR YOU TO AGREE TO BE BOUND BY THE TERMS OF THIS END USER LICENSE AGREEMENT BEFORE BEING PERMITTED TO CONTINUE TO USE THE PRODUCT.
VERY IMPORTANT-READ CAREFULLY: This Perpetuum Software LLC End User License Agreement ("LICENSE") is a legal agreement between the Developer End User (either an individual or an entity) and Perpetuum Software LLC, for the Perpetuum Controls (Beta) software component product ("SOFTWARE").
By installing, copying or otherwise using the SOFTWARE, the Developer End User agrees to be bound by the terms of this LICENSE. If the Developer End User does not agree to the terms of this LICENSE, he cannot use this SOFTWARE for any purposes.
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
The SOFTWARE is licensed, not sold.
I. LICENSE GRANT.

This LICENSE grants the Developer End User the following rights:

A. The Developer End User may use any number of copies of this SOFTWARE identified above on unlimited number of computers. The SOFTWARE is in "use" on a computer when it is loaded into temporary memory (i.e. RAM) or installed into permanent memory (e.g. hard disk, CD-ROM, or other storage device) of that computer.
B. The Developer End User may use the SOFTWARE for the limited purposes of demonstrations and trials.
II. TITLE; COPYRIGHT.

All title and copyrights in and to the SOFTWARE and any copies of the SOFTWARE are owned by Perpetuum Software LLC. The SOFTWARE is protected by copyright laws and international treaty provisions. Therefore, the Developer End User must treat the SOFTWARE like any other copyrighted material.
III. ADDITIONAL RIGHTS AND LIMITATIONS.

A. Reverse Engineering, Decompilation, and Disassembly. The Developer End User MAY NOT reverse engineer, decompile, or disassemble the SOFTWARE.
B. No Separation of Components.

The SOFTWARE is licensed as a single product and the software programs comprising the SOFTWARE may not be separated for use by more than one user at a time.
IV. TERMINATION.

Without prejudice to any other rights, Perpetuum Software LLC may terminate this LICENSE if the Developer End User fails to comply with the terms and conditions of this LICENSE. In such event, the Developer End User must destroy all copies of the SOFTWARE.
LIMITED WARRANTY.

EXCEPT WITH RESPECT TO REDISTRIBUTABLES, WHICH ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, PERPETUUM SOFTWARE LLC WARRANTS THAT THE SOFTWARE WILL PERFORM SUBSTANTIALLY IN ACCORDANCE WITH THE ACCOMPANYING WRITTEN MATERIALS.

NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERPETUUM SOFTWARE LLC DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. THE DEVELOPER END USER MAY HAVE OTHERS, WHICH VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION.
NO LIABILITIES FOR CONSEQUENTIAL DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERPETUUM SOFTWARE LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF PERPETUUM SOFTWARE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO THE DEVELOPER END USER.
ACKNOLEDGEMENT.

THE DEVELOPER END USER ACKNOWLEDGES THAT HE HAS READ AND UNDERSTANDS THIS AGREEMENT AND AGREES TO BE BOUND BY ITS TERMS. THE DEVELOPER END USER FURTHER AGREES THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN HIM AND PERPETUUM SOFTWARE LLC, AND SUPERCEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS RELATING TO THE SUBJECT MATER OF THIS AGREEMENT.
